General Terms and Conditions of Sale and Use
Article 1: Purpose and Definitions
These General Terms and Conditions of Sale and Use (the "Terms") govern access to and use of the Lektify platform, available at lektify.app (the "Platform"), as well as all sales concluded on it.
In these Terms:
- "Publisher" / "Lektify": the company BENYWEB STUDIO, a SAS (simplified joint-stock company) with share capital of €1,500, registered with the Lyon RCS (Trade and Companies Register) under number 130 420 821, with its registered office at 64 rue Waldeck Rousseau, 69006 Lyon, represented by its President, Ms. Sonia Boufella; its full contact details appear in the Legal Notice;
- "User": any person holding an account, whether a Creator or a Reader;
- "Creator": a User, whether or not acting in a professional capacity, who creates, publishes and sells Lekty'Books through the Platform by means of a connected payment account;
- "Reader" / "Buyer": a User who views and/or purchases access to a Lekty'Book;
- "Lekty'Book": an interactive e-book enhanced by artificial intelligence (text, image, video, generated audio narration, quizzes, contextual AI tutor "Lekty") published by a Creator;
- "Studio": the software space (SaaS) made available to Creators to create and manage their Lekty'Books, which is subject to a Studio subscription;
- "AI Tokens": usage credits for the AI features, sold directly by Lektify.
These Terms distinguish between two contractual relationships of a different nature:
- Title I · B2B Relationship: the sale, by Lektify to the Creator, of a Studio subscription and, where applicable, of AI Tokens (Lektify is the seller);
- Title II · B2C2C Relationship: the sale, by the Creator to the Buyer, of access to a Lekty'Book, with Lektify acting solely as a technical intermediary (Lektify is not the seller of the Lekty'Book).
Article 2: Acceptance and Enforceability
Use of the Platform and any order require the full and unreserved acceptance of these Terms, evidenced by a checkbox (not pre-checked) before validation, in accordance with Articles 1127-1 and 1127-2 of the French Civil Code (Code civil). For any paid order, validation is carried out using the "double-click" mechanism, with the validation button bearing the words "order with obligation to pay" (commande avec obligation de paiement) (Article L.221-14 of the French Consumer Code (Code de la consommation)). Lektify reserves the right to amend the Terms; the applicable Terms are those in force on the date of the order.
Minimum age. Registration and any order are reserved for persons of legal age (18 or older). A minor aged 15 or older may use the Platform and place orders with the prior consent of his or her legal representative (parent or guardian), who remains responsible for compliance with these Terms and for payments. Persons under 15 may neither create an account nor place an order. The optional email sign-up checkboxes (news from Lektify, news from a Creator) are intended only for persons aged 15 or older.
TITLE I · B2B RELATIONSHIP: STUDIO SUBSCRIPTION AND AI TOKENS (Lektify → Creator)
Article 3: Studio Subscription
3.1 Plans and Prices
Lektify offers the Creator the following plans (prices in euros excluding taxes; VAT at the applicable rate is added to the displayed prices and is shown at the time of payment):
| Plan | Monthly price | Lektify commission on B2C2C sales |
|---|---|---|
| Freemium | €0 | 15% |
| Creator | €49 / month (or €490 / year) | 5% |
| Business | €99 / month (or €990 / year) | 2% |
The stated commission applies to the price excluding taxes of each B2C2C sale made by the Creator. The automatic deduction made by Lektify through the Stripe application_fee includes this commission as well as the VAT collected by Lektify on the sale under the deemed supplier regime (régime du fournisseur présumé) (see Article 8).
3.2 Term, Billing and Renewal
The paid Studio subscription is taken out for a term of one month, tacitly renewable for successive one-month periods, in accordance with Article L.215-1 of the French Consumer Code. It is billed in advance on each due date through the payment service provider.
3.3 Termination
The Creator may terminate the Studio subscription at any time, effective at the end of the current period, through a feature for accessible and free online termination (Article L.215-1-1 of the French Consumer Code). No prorated refund for the period already begun is owed. Upon termination, the Creator loses access to the paid Studio features as well as the related benefits.
3.4 Founders Offer
The first 100 Creators who take out a paid Studio subscription receive a lifetime 20% discount on the price of their Studio subscription. This benefit is strictly personal and is permanently lost in the event of termination of the subscription (any subsequent new subscription is at the standard rate then in force). The offer applies only to the Studio subscription, excluding AI Tokens and commissions.
3.5 Builders Offer (Invitation-Only Beta Testers)
The "Builders" program is reserved for a limited number of persons invited by name by Lektify before the commercial launch of the platform. The invitation is strictly personal, tied to the invited email address and non-transferable. When taking out a paid Studio subscription (Creator or Business), the Builder receives: (i) a first month free (30-day trial period; if the commercial launch of the platform has not occurred by the end of that period, the following month is also free); (ii) then a 30% discount for 3 months on that same subscription; (iii) then a lifetime 20% discount, applicable for as long as the subscription remains active without interruption. These discounts are permanently lost in the event of termination (any subsequent new subscription is at the standard rate then in force), apply only to the Studio subscription, excluding AI Tokens and commissions, and may not be combined with the Founders Offer. In return, the Builder is invited to share feedback on his or her use; this contribution does not constitute a contractual obligation. Lektify reserves the right to modify the program terms for future invitations.
3.6 Affiliate Program (Referral)
A Creator (the "Referrer") who refers a new Creator (the "Referee") who takes out a paid Studio subscription receives a recurring lifetime affiliate commission of 20% calculated exclusively on the amount, excluding taxes, of the Studio subscription actually paid by the Referee (net of any discounts), excluding the Referee's B2C2C sales and AI Token purchases. Attribution is single attribution (a Referee may be linked to only one Referrer, in principle the first one identified). The commission ceases if the Referee terminates his or her subscription. The details of the program (attribution, payouts, prohibited practices, canceled or disputed payments, self-billing mandate) are set out in the Affiliate Program Terms, to be accepted from the "My Affiliation" area.
Article 4: AI Tokens (Direct Sale by Lektify)
AI Tokens are usage credits for the AI features (generation, tutor, quizzes, audio). They are sold directly by Lektify (outside Stripe Connect), at the price displayed at the time of purchase, including all taxes (French VAT included).
AI Tokens constitute digital content supplied immediately. In accordance with Article L.221-28, 13° of the French Consumer Code and the Refund Policy, the Buyer expressly waives his or her right of withdrawal and acknowledges that performance begins immediately: AI Tokens are therefore non-refundable once credited, except in the event of a malfunction attributable to Lektify (legal guarantee of conformity, Articles L.224-25-1 et seq.). Any validity period for the Tokens is specified at the time of purchase. The price of AI Tokens may change under the conditions set out in Article 7.
Price of AI features by plan. The number of AI Tokens used by each feature is displayed before any use, in the Studio and on the "My tokens" page. For a Creator on the Freemium plan, this number is increased by 20% (rounded up to the next token) compared with the Creator and Business plans. This increase applies to all AI features paid for in AI Tokens.
"My Voice" (Ma voix) (cloned voice). The Creator may create a synthetic voice from his or her own voice, and only his or her own, after reading aloud a consent statement, the recording of which is retained by Lektify as evidence. This voice may be used only from the Creator's account. The Creator may delete it at any time, which also erases it from the speech synthesis provider's systems. Creating the voice is free of charge; each reading using this voice is paid for in AI Tokens, at the price displayed before generation, which is higher than that of the catalog voices. The Creator shall not use this feature with a third party's voice and shall indemnify Lektify against any claim in this respect. The audio content produced is labeled as generated by artificial intelligence.
TITLE II · B2C2C RELATIONSHIP: SALE OF LEKTY'BOOKS (Creator → Buyer)
Article 5: Role of Lektify: Technical Intermediary
Lektify is not the seller of Lekty'Books. Lektify provides a marketplace and technical services (hosting, matchmaking, creation tools, facilitation of payment through Stripe Connect in Direct Charge mode). In this capacity, Lektify acts as a technical intermediary / hosting provider within the meaning of the French Law on Confidence in the Digital Economy (LCEN, Loi pour la confiance dans l'économie numérique) and as an intermediary service provider within the meaning of the DSA (Regulation (EU) 2022/2065).
The Creator is the sole seller of the Lekty'Book vis-à-vis the Buyer. The Creator remains solely responsible for his or her tax, customs and regulatory obligations, for the compliance and lawfulness of his or her content, and for refunds, credit notes and chargebacks relating to his or her sales, the price of which is collected directly into his or her connected payment account. Lektify does not collect the price of Lekty'Books and receives only a matchmaking commission.
Article 6: Purpose and Terms of the B2C2C Sale (Monthly Subscription)
6.1 Nature of the Offers
Each Creator chooses how to market his or her Lekty'Book:
- Recurring monthly subscription: the Buyer pays a monthly amount granting access to the Lekty'Book during the paid period;
- One-time purchase: the Buyer pays once and receives permanent access to the Lekty'Book, for as long as the Platform is in operation and the Lekty'Book remains published on it (this is not a download: no file is delivered, and access is exercised online through the Reader);
- Hybrid: both of the above options are offered simultaneously, at the Buyer's choice.
6.2 Access Conditions and Revocation
Access to the Lekty'Book is conditional upon a currently valid payment. In the event of cancellation by the Buyer or payment failure, access is revoked at the end of the period already paid, without proration or refund for the period already begun. The Buyer retains access until the end of the current period.
6.3 Cancellation
The Buyer may cancel his or her subscription at any time, in particular through the payment service provider's customer portal, in accordance with the online termination requirement (Article L.215-1-1 of the French Consumer Code). Cancellation takes effect at the end of the current period.
6.4 Pre-Contractual Information
Before any order, the Creator/the Platform clearly makes available (Articles L.111-1 and L.221-5 of the French Consumer Code): the essential characteristics of the Lekty'Book, its total price, the term and the renewal/termination conditions, the existence or absence of the right of withdrawal, and the legal guarantees.
Article 7: Prices and Price Changes
7.1 Prices
The prices of Lekty'Books are set freely by each Creator and displayed before ordering. The prices of Lektify's services (Studio, AI Tokens) are those displayed on the Platform.
7.1 bis Promotional Offers and Promo Codes
The Creator may offer discounts on his or her Lekty'Books: a time-limited discount displayed on the Lekty'Book page, or a promo code. The terms of each offer (duration, Lekty'Books concerned, number of uses, restriction to new customers, duration of the discount on a subscription) are set by the Creator and displayed before ordering. Only one discount applies per purchase, the one most favorable to the Buyer, and the discounted price may not be lower than €1.
When a price reduction is announced, the displayed reference price (struck-through price) is the lowest price charged for that Lekty'Book during the thirty (30) days preceding the application of the reduction, in accordance with Article L.112-1-1 of the French Consumer Code. Lektify calculates this reference price automatically from the price history; the Creator cannot enter it.
An offer does not apply retroactively: a purchase made before or after the period of an offer does not give rise to any refund of the difference. Where a refund is exceptionally owed (Refund Policy, Article 5), it covers the price actually paid, that is, the promotional price where applicable. Lektify's commission is calculated on the price actually paid.
7.2 Changes to the Prices of Lektify's Services
Lektify may change its rates (Studio, AI Tokens, commission rates). For Users holding an ongoing subscription, any increase is notified at least one (1) month before it takes effect, on a durable medium. A User who refuses the increase may terminate free of charge before the effective date; failing termination, the increase is deemed accepted at the next due date.
7.3 Pass-Through of Third-Party AI Provider Costs
The AI features depend on third-party providers. In the event of a significant increase in their rates, Lektify may pass this increase through to the price of AI Tokens and/or subscriptions, subject to the notice period and the right of termination provided for in 7.2.
Article 8: Commissions, Payment Flows and Commission Recovery Clause (Clawback)
8.1 Payment Service Provider: Stripe Connect (Direct Charge)
B2C2C payments are processed through Stripe Connect in Direct Charge mode. Accordingly:
- the price paid by the Buyer is collected directly into the Creator's connected Stripe account;
- Stripe deducts its transaction fees from the Creator;
- Lektify collects the VAT applicable to the sale (deemed supplier regime applicable to facilitating platforms) and remits it to the tax authorities; the Creator is not required to declare or remit VAT on his or her sales made through the Platform;
- Lektify receives an automatic commission at the rate set out in Article 3.1, calculated on the price excluding taxes; the automatic deduction (
application_fee) corresponds to the sum of the VAT collected and this commission; - the Creator bears the refunds and chargebacks relating to his or her sales.
8.2 Agreement with the Payment Service Provider
To receive payments, the Creator opens and manages a Stripe Express connected payment account and accepts Stripe's Connected Account Agreement, through an onboarding process facilitated by Lektify. Identity verifications (KYC) are performed and retained by Stripe; Lektify does not retain Creators' identity documents.
8.3 Commission Recovery Clause (Clawback)
In the event of a refund, cancellation or chargeback relating to a B2C2C sale for which Lektify has already received a commission, Lektify is entitled to recover (claw back) the corresponding commission, by set-off against future commissions due under the same account, or by any other means. The Creator expressly authorizes this recovery, which is proportional to the amount refunded.
Article 9: Intellectual Property
9.1 Creators' content. The Creator retains ownership of the intellectual property rights in the Lekty'Books he or she creates. The Creator warrants that he or she holds all necessary rights (texts, images, sounds, trademarks, third-party rights) and that his or her content is lawful.
9.2 License granted to Lektify. The Creator grants Lektify a non-exclusive, worldwide license for the duration of publication, solely for the purposes of hosting, reproducing, technically adapting, displaying and distributing the Lekty'Book on the Platform and promoting it.
9.3 License granted to the Buyer. The Buyer receives a personal, non-exclusive and non-transferable right of access and consultation, for the duration of his or her subscription (monthly offer) or permanently under the conditions of Article 6.1 (one-time purchase). Access is exercised exclusively online through the Platform; no downloadable file is provided. Any reproduction, resale, distribution or making available to third parties is prohibited.
9.4 Platform. The elements of the Platform ("Lektify" and "Lekty" trademarks, software, interfaces, databases) remain the exclusive property of Lektify.
9.5 AI-generated content. Certain elements are generated or assisted by AI (audio narration, images, quizzes, answers from the "Lekty" tutor). The legal status of purely AI-generated content is uncertain under current law; the Creator uses it at his or her own responsibility. The content created in the Labo Créa consists of suggestions: the Creator reviews and publishes it under his or her sole responsibility, including any promises, urgency claims, health claims and affiliate disclosures he or she chooses to include in it. See also Article 12.
Article 10: Users' Obligations and Moderation (DSA)
The User undertakes to use the Platform lawfully. Prohibited content includes, in particular, content that is unlawful, infringing, violates the rights of third parties, or is of a hateful or pornographic nature involving minors.
In accordance with the DSA (Regulation (EU) 2022/2065), Lektify provides: a point of contact (contact@lektify.app); a notice and action mechanism for reporting illegal content; a statement of reasons in the event of restriction, suspension or removal, and the possibility of challenging the decision. Lektify may remove manifestly illegal content of which it becomes aware and suspend accounts in the event of a serious or repeated breach.
Automated moderation. Each Lekty'Book is checked upon publication and then after each modification, first by an automated filter (text and images), then, for flagged passages only, by an artificial intelligence system that distinguishes sensitive educational content from illegal content. Depending on the result, the Lekty'Book is published, placed under review by a member of the team, or removed. Any restriction decision is notified to the Creator with its reasons, indicating the use of automated means; the Creator may challenge it from his or her account area, and the challenge is reviewed by a person. Any visitor may report content from the Lekty'Book page or the reader; the visitor receives an acknowledgment of receipt and is informed of the action taken.
AI-generated characters. The Creator may create a character from a description (fictional character) or from photos. The Creator may only use photos of himself or herself, or of a person from whom he or she has obtained prior written consent; the Creator retains proof of such consent and provides it to Lektify upon request. The following are prohibited: public figures or celebrities, any real person without his or her consent, minors, nudity, and any use intended to deceive or to impersonate a person. Consent is timestamped at the time of creation. Images are checked by an automated filter. Images and videos generated by AI on Lektify carry an invisible, machine-readable marking indicating their artificial origin (metadata), in accordance with Regulation (EU) 2024/1689. The Creator shall not remove it. The Creator is solely responsible for the distribution of this content, in particular for the "virtual image" or "AI-generated content" label required by law for commercial communications. The Creator may delete a character and all related images at any time.
Article 11: Liability and Guarantees
11.1 Guarantee of conformity. Digital content and services supplied to a consumer benefit from the legal guarantee of conformity under Articles L.224-25-1 et seq. of the French Consumer Code. For Lekty'Books, this guarantee is owed by the Creator, as seller; Lektify provides reasonable technical assistance.
11.2 Limitation of Lektify's liability. Lektify is bound by a best-efforts obligation (obligation de moyens) with respect to the availability and proper functioning of the Platform. Lektify shall not be held liable for Creators' content, for the B2C2C sales relationship, or for interruptions attributable to third-party providers. These limitations do not apply in the event of gross negligence or willful misconduct (faute lourde ou dolosive), nor do they reduce the consumer's mandatory public-policy rights.
Article 12: Transparency Regarding Artificial Intelligence
In accordance with Article 50 of Regulation (EU) 2024/1689 (AI Act): the User is informed that he or she is interacting with an AI system when conversing with the "Lekty" tutor, from the first interaction in the interface; AI-generated content (audio narration, images, summary texts) is identified as such and, to the extent permitted by available technical solutions, marked in a machine-readable format.
Article 13: Personal Data
The processing of personal data is described in the Privacy Policy, which forms an integral part of these Terms.
Article 14: Consumer Mediation and Dispute Resolution
14.1 Prior complaint. Any complaint must first be sent to contact@lektify.app. Lektify endeavors to respond as promptly as possible.
14.2 Mediation. In accordance with Articles L.612-1 et seq. of the French Consumer Code, a consumer who has not obtained satisfaction may refer the matter, free of charge, to a consumer mediator (médiateur de la consommation):
Consumer mediator: CM2C (Centre de Médiation de la Consommation de Conciliateurs de Justice), 49 rue de Ponthieu, 75008 Paris. Phone: 01 89 47 00 14. Online submission: https://www.cm2c.net/declarer-un-litige.php. Email: litiges@cm2c.net. The consumer may file his or her request directly online on the mediator's website.
For cross-border disputes within the European Union, the consumer may also contact the European Consumer Centre France (Centre européen des consommateurs France) (www.europe-consommateurs.eu), which provides information and assistance free of charge.
14.3 Governing law and jurisdiction. These Terms are governed by French law. Failing an amicable resolution, disputes shall be brought before the courts having jurisdiction under the ordinary rules of law; mandatory protective provisions in favor of consumers remain applicable.
Article 15: Miscellaneous
If any clause is held to be void, the remaining clauses shall remain in effect. Lektify's failure to invoke any clause shall not constitute a waiver. These Terms, together with the documents to which they refer (Legal Notice, Privacy Policy, Refund Policy), constitute the entire agreement.
